1. Agreement to Terms

By accessing our website, purchasing a subscription, or using our services, you agree to be bound by these Terms and Conditions. If you do not agree, do not use our services.

2. Services

Delphion Data provides automated data extraction, storage, and reporting services for business software.

3. Subscriptions and Billing

3.1 Subscription Model

  • Services are provided on a monthly subscription basis.

  • Subscriptions renew automatically each month until cancelled.

  • Payment is taken in advance.

3.2 Cancellation

  • You may cancel your subscription at any time.

  • Cancellation takes effect at the end of your current billing period.

  • You retain access to services until the end of the paid period.

  • No refunds are provided for partial months.

3.3 Payment Failures

  • If payment fails, you will be notified and given a 7-day grace period.

  • Services remain active during the grace period.

  • After 7 days, your license will expire and services will be suspended.

4. Software License

4.1 License Grant

  • We grant you a non-exclusive, non-transferable license to use our software.

  • One license covers one installation only.

  • The license is bound to a single device.

4.2 Your Responsibilities

  • You are responsible for maintaining your software and systems.

  • You must ensure your systems meet the requirements for our services to function properly.

5. Data and Privacy

5.1 Your Data

  • You retain all ownership rights to your data.

  • We store your data securely.

  • Our use of your data is governed by our Privacy Policy.

5.2 Data Retention After Cancellation

  • After cancellation, your data is retained for 60 days.

  • After 60 days, your data is permanently deleted.

6. Service Availability

6.1 Uptime

  • We will use reasonable efforts to maintain service availability.

  • We do not guarantee uninterrupted access or error-free operation.

  • Scheduled maintenance may cause temporary service interruptions.

6.2 Support

  • We provide technical support and will make reasonable efforts to assist with reported issues.

  • Response times are not guaranteed.

7. Accuracy of Reporting

7.1 Report Preparation

  • Reports are prepared using professional judgment and established processes.

  • We take reasonable care to provide accurate reporting.

  • Reports may contain estimates, calculations, and minor variances.

7.2 Your Responsibilities

  • Reports are provided as decision-support tools only.

  • You must verify data accuracy before making business decisions.

  • You should not rely solely on our reports for financial, operational, or strategic decisions.

  • You must promptly notify us of any errors or discrepancies you identify.

7.3 Error Correction

  • If material errors are identified, we will investigate and take reasonable steps to correct them.

  • Minor variances, rounding differences, and immaterial discrepancies do not constitute reportable errors.

8. Limitation of Liability

8.1 Liability Cap

  • Our total liability to you for any claims arising from our services is limited to the total fees you paid in the 3 months immediately preceding the incident.

  • This cap applies to all claims collectively, not per incident.

8.2 Excluded Liability

We are not liable for:

  • Minor inaccuracies or immaterial variances in reports.

  • Decisions you make based on reports.

  • Losses caused by your own systems, software, or internet connection.

  • Indirect, consequential, or incidental losses.

  • Loss of profits, revenue, business opportunities, or goodwill.

  • Data loss resulting from your own actions or system failures.

8.3 Non-Excludable Liability

Nothing in these Terms limits our liability for:

  • Death or personal injury caused by our negligence.

  • Fraud or fraudulent misrepresentation.

  • Data breaches under applicable data protection law.

  • Any other liability that cannot be lawfully excluded.

8.4 Reasonableness

The liability cap is considered reasonable given the subscription cost and the requirement for you to verify data before use.

9. Intellectual Property

9.1 Our Property

  • All content, software, reports, templates, and branding remain our property.

  • You may not reproduce, modify, or distribute our materials without written consent.

9.2 Your Property

  • You retain all rights to your business data.

  • We claim no ownership over your data.

10. Termination

10.1 By You

You may terminate by cancelling your subscription as described in section 3.2.

10.2 By Us

  • We may terminate your account immediately if you breach these Terms.

  • We may terminate with 30 days' notice for any other reason.

  • Outstanding fees remain payable upon termination.

11. Acceptable Use

You agree to:

  • Use our services for lawful purposes only.

  • Not attempt to compromise or reverse-engineer our systems.

  • Not share your license or attempt to use it on multiple devices.

  • Maintain the security of your account credentials.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email. Continued use of services after changes constitutes acceptance.

13. Governing Law

13.1 Jurisdiction

  • These Terms are governed by the laws of England and Wales.

  • Disputes will be subject to the exclusive jurisdiction of English courts.

13.2 International Customers

Customers outside England and Wales may have additional mandatory consumer rights under local law that cannot be excluded by these Terms.

14. General

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between us.

14.2 Severability

If any provision is found unenforceable, the remaining provisions continue in effect.

14.3 No Waiver

Our failure to enforce any right does not waive that right.
